1. Purpose

The Photographer and the Model agree to collaborate on a Time for Print / Time for Photos (TFP) session for the purpose of expanding their respective portfolios and promoting their creative work. No monetary compensation is exchanged unless agreed separately in writing.

2. Copyright & Ownership

All photographs, negatives, transparencies, scans, prints, and digital files created during the session remain the exclusive intellectual property of the Photographer. The Photographer retains full copyright and all associated rights under applicable copyright laws.

3. Photographer's Usage Rights

The Model grants the Photographer a perpetual, worldwide, non-exclusive permission to use the photographs for lawful purposes, including but not limited to portfolio, personal website, social media, printed portfolio, exhibitions, photography competitions, editorial submissions, articles, interviews, publications, promotional and marketing materials, studio advertising, printed promotional materials, books, magazines, galleries, and educational publications. Images shall not be sold as standalone stock photographs without obtaining additional written permission from the Model.

4. Model's Usage Rights

The Photographer grants the Model a perpetual, worldwide, non-exclusive license to use the delivered photographs for personal portfolio, model portfolio websites, social media, personal promotion, casting applications, and agency submissions. The Model may not sell, license, sublicense, claim authorship of, or substantially alter the photographs beyond normal cropping or resizing without the Photographer's written consent.

5. Commercial Use

This Agreement authorizes the use of the photographs solely for self-promotion, portfolio display, editorial use, exhibitions, competitions, educational purposes, and other non-commercial promotional activities of the Photographer and the Model. Any use of the photographs that directly promotes, advertises, endorses, or sells a product, service, company, brand, or commercial venture by either party requires a separate written agreement signed by both the Photographer and the Model before such use. Examples include advertising campaigns, product endorsements, brand partnerships, paid social media advertisements, product packaging, catalogues, corporate marketing materials, billboards, and television or online advertisements. Nothing in this Agreement grants either party the right to license, sell, sublicense, or transfer the photographs to any third party for commercial purposes without the prior written consent of the other party. The Photographer retains the right to license the photographs for editorial purposes, fine art prints, exhibitions, photography competitions, books, magazines, galleries, and educational publications, provided such use does not imply the Model's endorsement of any product, service, or brand.

6. Image Delivery

The Model will receive a curated selection of professionally scanned and edited high-resolution digital images suitable for printing and online use.

7. Analog Photography

The Model understands the session is conducted using analog (film) photography. Every frame is unique and technical failures, damaged film, processing errors, or exposure issues may result in unusable images. The Photographer cannot guarantee a specific number of successful photographs.

8. Delivery Time

Delivery depends on film development, scanning, and manual processing and may require several weeks.

9. Model Name

The Model indicates below whether their name may be published in connection with the photographs.

10. Editing

The artistic style, scanning method, color grading, black-and-white conversion, dust removal, cropping, and finishing remain solely at the Photographer's discretion.

11. Release

The Model grants permission for the Photographer to photograph and publish the images as described in this Agreement and waives the right to inspect or approve future publications.

12. No Guarantee of Publication

Neither party is obligated to publish or use every image.

13. Liability

The Photographer shall not be liable for technical failures, film damage, laboratory errors, loss beyond reasonable control, or artistic dissatisfaction.

14. Privacy

Personal information collected under this Agreement will only be used for identification, communication, delivery of photographs, and business records.

15. Entire Agreement

This document constitutes the complete agreement between the parties. Amendments must be in writing and signed.

16. Governing Law

This Agreement shall be governed by the laws of the Republic of Cyprus unless otherwise agreed in writing. Where mandatory local law applies, those provisions shall prevail.
